A ready-made company, also known as a shelf company, is an existing Czech limited liability company (společnost s ručením omezeným, s.r.o.) that has already been incorporated and entered in the Czech Commercial Register.
The company has an identification number (IČO), registered office, registered share capital and an established legal identity. However, incorporation does not automatically mean that the company is registered for VAT, holds all necessary trade licences or has an operational corporate bank account.
The acquisition generally involves purchasing the existing shareholder’s ownership interest and, where agreed, appointing a new managing director (jednatel).
Under the Czech Business Corporations Act (Act No. 90/2012 Coll.), the transfer of an ownership interest must comply with the company’s constitutional documents and applicable statutory requirements, including any necessary corporate approval and formalities for the transfer agreement.
The acquisition does not create a new legal entity. The company retains its existing identification number, legal personality, assets, liabilities and corporate history.
Following the acquisition, the new owner must ensure that the relevant changes are filed with the Commercial Register and that beneficial ownership information is updated where required.
A ready-made company can provide an existing corporate structure, but the commencement of specific business activities remains subject to applicable licensing, tax and banking requirements.
This guide from Regulated United Europe (RUE) explains how the transfer process works, what is included in our package, and which registered companies are currently available for purchase.
